Marketing Communications

We send marketing and firm-update emails through our practice management platform, Canopy. You mayopt out of these communications at any time by clicking the “unsubscribe” linkin any marketing email or by contacting us at info@sproutax.com. Opting out of marketing emails will not affect transactional communications related to your engagement or account.

When We Share Your Information

We do not sell your personal information, and we do not share it for cross-context behavioral advertising. We share information only in the following circumstances:

1. With Your Consent
We disclose information when you provide explicit written consent or authorization. For tax return information, any consent will be obtained in the form and manner required by IRC Section 7216 and its regulations.

2. With Trusted Service Providers
We may share information with vetted third-party providers who help us operate our business and deliver services, such as:* Secure client portal providers

* Tax preparation software and e-file platforms
* Cloud storage and document management providers
* IT and cyber security providers

These providers are contractually obligated to maintain confidentiality and protect your information.

3. Legal and Regulatory Requirements
We may disclose information when required to:

* Comply with applicable laws, regulations, subpoenas, or court orders
* Respond to IRS or state tax authority requests

IRS Section 7216 Compliance

Federal law under Internal Revenue Code Section 7216 strictly limits how tax return information may beused or disclosed by tax return preparers. Except as permitted or required by law, Sproutax will not use or disclose your tax return information without your prior written consent obtained in the form required by Treasury regulations.

SMS and Mobile Messaging

If you provide us with your mobile phone number and opt in to receive text messages from Sproutax, we may use SMS to send you transactional and informational communications related to your engagement, such as:

* Appointment reminders andscheduling confirmations
* Requests for missingdocuments or information
* Status updates on your taxreturn or engagement
* General account orservice-related notifications

We do not use SMS formarketing or promotional purposes.

Consent. By providing your mobile number and opting in, you consent to receive SMS messages from Sproutax. Consent is not a condition of receiving our services. Message frequency varies based on your engagement. Message and data rates may apply.

Opt-Out. You may opt out of SMS messages at any time by replying STOP to any text. For help, reply HELP or contact us at info@sproutax.com. After opting out, you may receive a final confirmation message.

No Sharing of Mobile Information. Mobile information (including phone numbers and SMS opt-in data) will not be shared with third parties or affiliates for marketing or promotional purposes. Mobile information may be shared only with sub processors (such as our SMS platform provider) that support the delivery of these messages, and only for that purpose.

SMS messages may be delivered through a third-party platform, and the content of those messages may be processed by that platform to facilitate delivery. We do not control, and are not responsible for, message delivery delays or failures caused by your wireless carrier or your device.

Cookies and Website Tracking

Our website may use cookies, analytics tools, and similar technologies to:

* Analyze website usage and traffic patterns

California Residents

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), including the right to:

* Know what personal information we collect, use, disclose, and retain
* Request deletion or correction of your personal information
* Opt out of the sale or sharing of personal information (we do not sell or share personal information)
* Limit the use of sensitive personal information

Please note that most personal information we collect in the course of providing tax, accounting, and advisory services is exempt from the CCPA because it is regulated under the Gramm-Leach-Bliley Act (GLBA). To exercise any non-exempt rights, contact us atinfo@sproutax.com.

International Clientsand Data Transfers

Sproutax is based in the United States, and any personal information we collect is processed and stored in the United States. If you are located outside the United States, including in the European Economic Area, the United Kingdom, or other jurisdictions with different data protection laws, please be aware that your information will be transferred to, stored in, and processed in the United States. By engaging our services or providing information to us, you consent to this transfer. We take reasonable steps to ensure your information receives an adequate level of protection consistent with this Privacy Policy and applicable law.

Third-Party Services and Links

We use Canopy as our secure client portal and practice management platform. When you upload documents, exchange messages, or otherwise interact with us through Canopy, your information is also subject to Canopy’s privacy practices. We encourage you to review Canopy’s privacy policy for additional information.

Our website may also contain links to third-party websites or services. We are not responsible for the privacy practices, content, or security of any third-party sites, and this Privacy Policy does not apply to them.

Data Breach Notification

In the event of a data breach affecting your personal information, we will notify you and applicable authorities as required by law and in accordance with our incident response procedures.

Privacy Notice in Engagement Letters

Consistent with the Gramm-Leach-Bliley Act, our engagement letters reference this Privacy Policy as our initial and annual privacy notice to clients. By engaging Sproutax, you acknowledge that you have been provided with the opportunity to review this policy.

Children’s Privacy

Our services and website are not directed to individuals under the age of 18, and we do not knowingly collect personal information directly from children. If you believe we have inadvertently collected such information, please contact us so we can take appropriate action.
